Terms of Service

These Terms of Service ("Terms") govern your access to and use of Convivo — the website at joinconvivo.com, the Convivo app, and every feature we offer through them. By creating an account or otherwise using Convivo, you agree to these Terms; if you do not agree, do not use the service.
This document is a working draft prepared ahead of a full legal review — it is not legal advice, and placeholders below are marked FOUNDER-CONFIRM until the founder finalizes them.
Description of the service
Convivo is a two-sided event-planning platform. Hosts and organizers use it to plan a wedding, celebration, or corporate event — invitations, no-login guest RSVPs, a themed event website, seating, schedules, a photo wall, and more. Vendors (DJs, planners, photographers, videographers, caterers, florists, and venues) use it to manage the clients and events they're booked on — shared playlists, shot lists, menus, proposal boards, schedules, bookings, quotes, and invoices — in a portal linked to the events their clients invite them into.
Accounts
You create a Convivo account by signing in with Google. You agree to provide accurate information, to keep your Google account secure (since it controls access to your Convivo account), and to notify us promptly of any unauthorized use of your account. You are responsible for all activity that happens under your account.
Convivo is not directed at children under 13 (or under 16 where that is the relevant age of consent), and you must meet that minimum age to create an account.
Acceptable use
When using Convivo, you agree not to:
- Use the service for anything illegal, fraudulent, or harmful, or to plan or promote an event that violates the law.
- Harass, threaten, or abuse another user, a guest, or a vendor through the platform.
- Send spam, or use the platform's messaging and invitation tools for anything other than genuine event communication.
- Attempt to access another account, tenant, or event you are not authorized to access, or otherwise circumvent our security or tenant-isolation controls.
- Scrape, reverse-engineer, or systematically extract data from the service outside the export tools we provide.
- Impersonate another person or organization, or misrepresent your affiliation with one.
- Abuse free-tier limits (e.g. guest caps, storage caps) through multiple accounts created to evade them.
The vendor-client relationship
Convivo is a technology platform that connects hosts/organizers and vendors — it is not a party to, and does not guarantee, endorse, or vet, any booking, contract, or agreement made between a host and a vendor.
Vendors are independent businesses solely responsible for the services they offer, the quality of their work, their own pricing, and their own cancellation and refund policies. Any dispute over a vendor's services — quality, scheduling, cancellation, or a refund — is between the host and the vendor; Convivo is not responsible for resolving it, though we may assist in good faith where we reasonably can.
A vendor's client-facing invoices and payments are processed via Stripe Connect, with the vendor as the merchant of record on their own connected Stripe account — their business name, not Convivo's, appears on the client's card statement, and Stripe (not Convivo) holds the underlying payment relationship.
Payments and billing
Convivo's own subscription plans (for hosts and for vendors) are billed through Stripe. Subscriptions renew automatically for successive billing periods until you cancel; a one-time purchase (like an Event Pass) is a single, non-recurring charge. You can cancel a subscription at any time from your account settings; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law or stated otherwise at the time of purchase.
For payments a vendor collects from their own client through their Convivo portal, Convivo may deduct a platform fee (disclosed in the vendor's plan details) from each transaction via Stripe Connect. Those payments — and any refund of them — are a matter between the vendor and their client; Convivo has no obligation to issue a refund for a vendor's services.
We do not store your full payment card details — Stripe processes and stores that information as our payment processor.
Intellectual property
Convivo owns the Convivo platform, software, designs, and branding. We do not claim ownership of the content you upload — event details, guest lists, photos, vendor proposals, and similar — you retain ownership of it. By uploading content, you grant us the limited license we need to host, store, display, and transmit it as part of providing the service to you and the people you share it with (for example, showing your event website to your invited guests).
Termination
You may stop using Convivo and close your account at any time. We may suspend or terminate an account that violates these Terms, poses a security risk, or is used fraudulently or abusively, with notice where practical.
On termination, your right to access the service ends; we handle any remaining data per the retention and deletion terms in our Privacy Policy.
Disclaimers
The service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or available at all times.
Limitation of liability
To the maximum extent permitted by law, Convivo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the service. Convivo's total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim arose.
Convivo is not liable for the acts, omissions, or services of any vendor, or for any dispute between a host and a vendor arising from a booking made through the platform.
Indemnification
You agree to indemnify and hold Convivo harmless from any claim, loss, or damage (including reasonable legal fees) arising from your use of the service, your content, or your violation of these Terms or applicable law.
Governing law
These Terms are governed by the laws of the Province of Quebec, Canada, without regard to its conflict-of-law principles (FOUNDER-CONFIRM: confirm governing law and venue with counsel before this ships to production).
Changes to these terms
We may update these Terms from time to time. If we make a material change, we will update the "Last updated" date above and, where appropriate, notify you by email or an in-app notice before the change takes effect. Continuing to use Convivo after a change takes effect means you accept the updated Terms.
